Guest Speaker
Participation Agreement

Guest Speaker Participation Agreement ("Agreement") is made and entered into by and between the Guest Speaker candidate whose name is on the Guest Speaker Intake Form ("Form") as of the date in which the Form has been submitted, and the Santa Barbara Legacy Lounge, a community program ("Legacy Lounge"), with offices located at Kiva Cowork, 1117 State Street, Santa Barbara, California.

WHEREAS, the Legacy Lounge is considering the Guest Speaker to participate as a guest speaker at one or more of its upcoming events, and the parties wish to set forth the terms and conditions under which such participation will occur; and

NOW, THEREFORE, in consideration of the mutual covenants and promises herein contained, the parties agree as follows:

1. Guest Speaker Consideration

   The Guest Speaker is being considered for participation in a Legacy Lounge event, but acceptance is contingent upon the alignment of the Guest Speaker’s topic, values, and content with the interests, goals, and programming of the Legacy Lounge. The Legacy Lounge reserves the right to determine whether the proposed participation aligns with its overall programming and objectives.

2. Event Location and Scheduling

   All Legacy Lounge events will be held at a venue located within Santa Barbara County, California.

   The date and time of the event will be mutually agreed upon by the Event Director and the Guest Speaker. Once a date and time are confirmed, the Guest Speaker commits to attending the event at the agreed-upon time, subject to unforeseen circumstances beyond their control.

3. Audio, Video Recording, and Photography

   The Guest Speaker acknowledges and agrees that all Legacy Lounge events will be recorded in both audio and video formats. These recordings will be used for archival purposes and may also be utilized for marketing, promotional, and educational purposes at the discretion of the Legacy Lounge and its Affiliates. The Legacy Lounge may also capture photographs of the event and the Guest Speaker’s participation.

   The Guest Speaker grants permission for their likeness, voice, and content to be captured in these recordings and photographs, and agrees that such recordings and photographs may be stored, reproduced, distributed, or used in any media now known or hereafter developed, without further consent or compensation.

   The Legacy Lounge retains the right to use these recordings and photographs in any promotional or marketing materials, including but not limited to websites, social media platforms, printed materials, and event advertisements.

4. Participation and Conduct

   The Guest Speaker agrees to participate in the event in a professional and respectful manner, complying with all reasonable requests and guidelines established by the Legacy Lounge and the Event Director. The Guest Speaker will ensure their presentation is appropriate, respectful, and in alignment with the Legacy Lounge's values and community standards.

   Additionally, the Guest Speaker agrees to refrain from addressing topics related to politics, spirituality, religion, controversial social issues, or any other subjects deemed inappropriate for a public event. The Guest Speaker will also avoid the use of explicit or offensive language, as well as any content that may cause discomfort or division among attendees. The goal is to maintain an inclusive, respectful, and welcoming environment for all participants.

   Should the Guest Speaker choose to introduce or discuss any of these topics during their presentation, conversation, or interaction, they will forfeit the opportunity to be invited back as a speaker for future events and may be prohibited from attending as an audience member.

5. Compensation and Expenses

   The Guest Speaker acknowledges and agrees that their participation in the Legacy Lounge event is voluntary and that no financial compensation will be provided for their time, effort, or presentation. The Guest Speaker’s involvement is considered a valuable contribution to the Legacy Lounge’s mission of building community, fostering dialogue, and sharing knowledge. By participating, the Guest Speaker plays a key role in enriching the local community and supporting the Legacy Lounge’s goals of education, connection, and meaningful dialogue.

   Any reasonable travel and accommodation expenses will be the responsibility of the Guest Speaker.

6. Indemnification

   The Guest Speaker agrees to indemnify, defend, and hold harmless the Legacy Lounge, its affiliates, officers, employees, and agents from any and all claims, damages, losses, liabilities, or expenses arising from or related to the Guest Speaker's participation in the event, including but not limited to any claims related to content, intellectual property, or conduct.

7. Miscellaneous

   This Agreement constitutes the entire understanding between the parties concerning the subject matter hereof and supersedes all prior agreements, discussions, or communications, whether written or oral, regarding the same.

   Any amendments or modifications to this Agreement must be in writing and signed by both parties.

   This Agreement shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflicts of laws principles.
